Terms and Conditions – Apex Elite LLC

These Terms and Conditions govern your use of our Website and the recruitment services provided by Apex Elite LLC (“Apex Elite”, “we”, “us”, “our”). By accessing the Website or engaging our services (as a candidate, client, or visitor), you agree to be bound by these Terms.
### 1. Who We Are
Apex Elite LLC is a U.S.-headquartered recruitment agency (Sheridan, Wyoming) specializing in SaaS and CCaaS talent placement across the United States, United Kingdom, European Union, Japan, and other regions.
### 2. Services
- **For Clients**: We provide executive search, permanent recruitment, and related staffing services.
- **For Candidates**: We offer job matching, career advice, and introduction to potential employers free of charge.
- We act as an agency, not an employer. Any employment contract is directly between the candidate and the hiring company.
### 3. Candidate Obligations
You represent and warrant that:
- All information you provide (CV, qualifications, references, clearance status, etc.) is true, accurate, and complete.
- You hold the necessary right to work in the countries for which you apply.
- You will notify us immediately of any changes to your circumstances or if you no longer wish to be considered for roles.
### 4. Client Obligations
You agree to:
- Provide accurate job descriptions and requirements.
- Pay our fees in accordance with the separate service agreement or fee schedule.
- Not circumvent Apex Elite by hiring candidates introduced by us without paying the agreed fee (12-month anti-circumvention clause).
- Comply with all applicable employment and anti-discrimination laws.
### 5. Fees & Payment
- Candidates: Our services are completely free to you.
- Clients: Fees are detailed in individual service agreements or our standard fee schedule. Invoices are due within 14 days unless otherwise agreed.
### 6. Guarantee & Rebate (Clients)
We offer a 90-day candidate guarantee on permanent placements. If the candidate leaves or is terminated for performance within 90 days, we will provide one free replacement or a pro-rated rebate (details in service agreement).
### 7. Confidentiality
Both parties agree to keep confidential all sensitive information received during the recruitment process. Candidate CVs remain our property until shared with clients, after which clients must treat them as confidential.
### 8. Intellectual Property
All content on the Website (text, graphics, logos, etc.) is owned by or licensed to Apex Elite and protected by copyright and trademark laws. You may not copy or reuse it without written permission.
### 9. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any loss or damage arising from inaccurate information provided by candidates or clients.
- Our total liability shall not exceed the fees paid by the client in the preceding 12 months.
- We make no guarantee of job offers (candidates) or successful hires (clients).
### 10. Data Protection
Your personal data is processed in accordance with our Privacy Policy (available on the Website).
### 11. Termination
We may terminate or suspend access to our services immediately if you breach these Terms.
### 12. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Wyoming, USA. Any disputes shall be subject to the exclusive jurisdiction of the courts of Wyoming (for non-EU users). EU clients and candidates may also benefit from mandatory consumer protection laws of their country of residence.
### 13. Changes to Terms
We may update these Terms at any time. Continued use of the Website or services after changes constitutes acceptance of the new terms.
