1. Acceptance of Terms
By accessing or using the Apex Elite LLC website (https://www.apexelite.io or any successor, the “Site”), services, resources, or submitting any information (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site or Services. Apex Elite LLC (“Apex Elite,” “we,” “us,” or “our”) may update these Terms at any time; continued use constitutes acceptance of changes.
2. Our Services
Apex Elite provides talent acquisition, recruitment, executive search, and related consulting services focused on SaaS & CCaaS, AI, Data Centers, Clean Energy, and Government & Cleared roles. We act solely as an intermediary. We do not guarantee placements, candidate performance, or hiring outcomes. All hiring decisions are the sole responsibility of the client (“Client”).
3. User Conduct and Eligibility
You must be at least 18 years old. You agree not to: (a) submit false or misleading information; (b) violate any laws, including anti-discrimination or data protection laws; (c) scrape, copy, or misuse candidate data or Site content; (d) engage in unauthorized solicitation of our candidates or clients. We reserve the right to terminate access for violations.
4. Intellectual Property
All Site content, including guides, reports, and materials, is owned by Apex Elite or licensed to us. Limited personal, non-commercial use is permitted. No republication, resale, or derivative works without express written consent.
5. Candidate and Client Submissions
By submitting resumes, profiles, or candidate information, you grant us a worldwide, royalty-free license to use, share (with your consent or as necessary for services), and store such data per our Privacy Policy. Clients are responsible for verifying candidate qualifications, references, background checks, right-to-work, security clearances, and compliance with all employment laws.
6. Fees and Payments (For Clients)
Specific fees, payment terms, replacement guarantees, and refunds (if any) are governed by separate written agreements or order forms. Fees are earned upon candidate acceptance or engagement. We are not liable for disputes arising from engagements between the clients and the candidates.
7. No Guarantees
Limitation of Liability Services are provided “AS IS.” Apex Elite disclaims all warranties, express or implied. To the fullest extent permitted by law, our total liability shall not exceed the fees paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, punitive, or incidental damages, lost profits, or candidate performance.
8. Indemnification
You agree to indemnify, defend, and hold harmless Apex Elite, its officers, directors, employees, and affiliates from any claims, losses, or damages arising from: (a) your use of the Services; (b) your hiring or engagement decisions; (c) your violation of laws or these Terms; or (d) any data you provide.
9. Privacy and Data Protection
Your use is also governed by our Privacy Policy and Cookie Policy. We comply with applicable laws including CCPA/CPRA (California), GDPR/UK GDPR (EU/UK), and APPI (Japan). For SAM.gov-related engagements, we maintain required representations and certifications.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming. You waive any jury trial rights to the extent permitted by law.
11. Miscellaneous
These Terms constitute the entire agreement. If any provision is unenforceable, it shall be severed without affecting the rest. No waiver of any breach constitutes a waiver of any other breach. We are not liable for delays due to force majeure.
